ED-iEXCHANGE™ Terms & Conditions

Welcome to ED-iEXCHANGE™, part of the SmartED-i™ platform hosted within the ED-iMARKET™ (ED-iMART™) environment. By using ED-iEXCHANGE™, you agree to be bound by these Terms & Conditions, in addition to the overarching SmartED-i™ Platform Terms of Use and Privacy Policy.

1. Purpose of ED-iEXCHANGE™

ED-iEXCHANGE™ enables users to list and exchange equipment, fittings, furniture, components, and materials (EFFC&M™) through a peer-to-peer swap system. The platform provides cost and carbon metrics as guidance only. All exchanges are agreed directly between users.

2. User Responsibilities

  • Voluntary Agreement: All exchanges are voluntary. You acknowledge and accept that the platform does not assess or guarantee the fairness, value, or environmental impact of any exchange.
  • Mutual Consent: You are solely responsible for ensuring you are satisfied with the exchange terms. Exchanges may occur even where one party gains more commercial or environmental benefit.
  • Due Diligence: You are responsible for verifying item descriptions, condition, ownership, and suitability for your needs prior to completing any exchange.
  • Truthful Listings: SmartED-i™ expects users to truthfully and accurately describe the condition, ownership, and relevant characteristics of any items listed for exchange. Misrepresentation may result in removal from the platform.

3. Exchange Process

  • Items may be listed with indicative cost values and embedded carbon figures, where available. These figures are for reference and are not a certified valuation.
  • Users initiate exchanges by selecting items and submitting an exchange offer to the listing party.
  • Both parties must expressly agree to the exchange via the platform.
  • Once both parties confirm, the exchange is deemed agreed.

4. Logistics & Risk

  • SmartED-i™ can assist in coordinating the logistics and transportation of exchanged items as an off-platform service. Alternatively, users may arrange their own logistics using third-party contractors.
  • Logistics coordination provided by SmartED-i™ is subject to separate agreement and service arrangements. The platform is not liable for the actions, delays, or failures of third-party logistics providers, whether arranged by SmartED-i™ or directly by users.
  • Risk in the items transfers between the parties as agreed in their exchange terms. The platform does not hold, inspect, or take ownership of any items.

5. No Warranty or Guarantee

The platform does not warrant:

  • The quality, condition, or functionality of any items exchanged.
  • That any item complies with applicable laws, regulations, or standards.
  • The truthfulness or completeness of listings provided by other users, although users are expected to provide accurate representations.

6. Disputes Between Users

  • Any disputes regarding an exchange must be resolved directly between the parties involved.
  • SmartED-i™ expects all users to act honestly and in good faith, including accurate representation of listed items.
  • SmartED-i™ does not mediate disputes but may take action against users who breach these terms, including suspension or removal from the platform.

7. Platform Usage Compliance

Users must comply with all applicable laws when listing or exchanging items. This includes compliance with health & safety, environmental, tax, and ownership laws applicable in your jurisdiction.

8. Acceptance of Terms

By using ED-iEXCHANGE™, you confirm that:

  • You have read, understood, and agreed to these Terms & Conditions.
  • You have the authority to enter into exchange agreements on behalf of your organisation (if applicable).
  • You accept all risks and responsibilities associated with your use of the platform.

9. Amendments

SmartED-i™ reserves the right to update these Terms & Conditions at any time. Users will be notified of material changes and continued use of ED-iEXCHANGE™ constitutes acceptance of the revised terms.
