SmartED-i™ Operational Terms & Conditions

For all users including businesses and charities

These Operational Terms & Conditions ("Terms") govern the use of the SmartED-i™ platform, including ED-iMART™, ED-iEXCHANGE™, ED-iSERVE™, ED-iCHARGECARD™, and all related tools, features, and services ("the Platform").

1. Scope and Purpose

  • •  These Terms apply to all registered organisations and authorised users, including businesses, charities, and not-for-profits.
  • •  They cover all operational activities, including donations, sales, purchases, reservations, listings, logistics, and environmental reporting.

2. User Eligibility and Roles

2.1 Age and Authority Requirements
  • •  Users must be aged 18 or over and act on behalf of a valid organisation.
  • •  By registering, you confirm authority to bind your organisation.
2.2 User Roles

Roles include, but are not limited to:

  • •  Donor – provides items FOC.
  • •  Seller – lists items for sale.
  • •  Buyer – purchases items.
  • •  Charity / Not-for-Profit Recipient – accepts donated or discounted items.
  • •  Service Partner – provides logistics or operational services.

An organisation may perform multiple roles.

3. Listings, Ownership and Item Condition

  • 3.1  All listed items must be owned or lawfully controlled by the listing party.
  • 3.2  Descriptions must be accurate and truthful, including any defects or missing parts.
  • 3.3  Items must comply with applicable safety, trading, and environmental laws.
  • 3.4  SmartED-i™ may remove unsafe or misleading listings.
  • 3.5  All items are offered "as seen" and "as available" unless otherwise agreed in writing.

4. Donations and Free-of-Charge Transfers

  • 4.1  Donated items are provided free of charge on an "as seen" basis and become the recipient's property upon collection or delivery.
  • 4.2  Once accepted, a donation is binding and non-reversible.
  • 4.3  Donors must not list unusable or regulated-waste items as donations.
  • 4.4  Recipients must collect or receive items within the agreed timeframe and use them only for legitimate organisational purposes.
  • 4.5  SmartED-i™ facilitates introductions but is not a party to the transfer of ownership.

5. Sales, Purchases and Payments

  • 5.1  All commercial transactions are governed by the separate Buyer & Seller Payment Terms, which form part of these Terms by reference.
  • 5.2  SmartED-i™ uses ED-iCHARGECARD™ and integrated payment services (including Stripe) to manage secure transactions.
  • 5.3  Funds may be held temporarily pending delivery or dispute resolution.
  • 5.4  Users are responsible for tax compliance on all transactions.

6. Delivery, Collection and Logistics (ED-iSERVE™)

  • 6.1  Delivery is not automatically included in any sale or donation.
  • 6.2  Users may:
  •     •  Arrange self-collection from the donor's / seller's location; or
  •     •  Request a collection or delivery quote via ED-iSERVE™ or other approved partners.
  • 6.3  Costs must be confirmed and paid before transport is arranged.
  • 6.4  Responsibility transfers to the recipient upon collection or confirmed delivery.
  • 6.5  SmartED-i™ and partners are not liable for loss or delay once goods are in transit.

6A. Reservation of Items

  • 6A.1  Users may reserve an item on SmartED-i™ or ED-iMART™ prior to finalising a purchase, donation, or exchange.
  • 6A.2  A reservation does not guarantee ownership until confirmation or payment is completed.
  • 6A.3  Reservations remain valid for a maximum of 48 hours, unless stated otherwise. After that period, if not secured, the item may be automatically re-listed or released without notice.
  • 6A.4  Unless expressly notified otherwise by the selling or donating party, it is the responsibility of the recipient (buyer or charity) to arrange collection or delivery of their goods within the agreed timeframe and at their own cost.
  • 6A.5  All payment-related reservations, pre-authorisations, or transfers made through the Platform are subject to the SmartED-i™ ED-iCHARGECARD™ Terms & Conditions, which apply in full.
  • 6A.6  SmartED-i™ accepts no liability for items re-listed due to expired reservations or delayed payments outside its control.

7. Use of Platform and Acceptable Conduct

  • 7.1  Users must not misuse the Platform or harm other users, SmartED-i™, or the environment.
  • 7.2  Prohibited actions include:
  •     •  Uploading unlawful, defamatory, or misleading content;
  •     •  Listing items not owned or unsafe for use;
  •     •  Tampering with security or system functions;
  •     •  Harassing or spamming others.
  • 7.3  Accounts may be suspended or terminated for breach.

8. Environmental and Zero-Waste Expectation

  • 8.1  SmartED-i™ champions circular-economy and re-use practices across all EFFC&M™ categories.
  • 8.2  All users are expected to support zero waste to landfill wherever reasonably possible.
  • 8.3  When items reach end-of-life, users should seek re-use, repair, recycling, or recovery through authorised channels.
  • 8.4  SmartED-i™ may request confirmation of responsible disposal for ESG purposes.

9. Accessibility and Fair Use

  • 9.1  SmartED-i™ strives to maintain accessibility aligned with WCAG 2.1 standards.
  • 9.2  Users must act fairly and respect equal access for others.

10. Liability, Indemnity and Disclaimers

  • 10.1  The Platform is provided "as is" and "as available."
  • 10.2  No warranty is given on item quality or fitness for purpose.
  • 10.3  Users must verify information and ensure legal compliance.
  • 10.4  SmartED-i™ is not liable for indirect or consequential losses.
  • 10.5  Users agree to indemnify SmartED-i™ against claims or costs arising from:
  •     •  Breach of these Terms;
  •     •  Unsafe or inaccurate listings; or
  •     •  Misuse of the Platform.

11. Data, Records and ESG Reporting

  • 11.1  SmartED-i™ records transactional data for audit, compliance, and platform integrity.
  • 11.2  Aggregated, anonymised data may be used for environmental and ESG metrics (e.g., CO₂ and waste savings).
  • 11.3  All data handling follows the Privacy Policy and UK data-protection law.
  • 11.4  Use of the Platform implies consent to such processing.

12. Breach, Suspension and Termination

  • 12.1  SmartED-i™ may suspend, restrict, or terminate access for breach or misuse.
  • 12.2  Listings or funds may be held pending investigation.
  • 12.3  Users remain liable for pre-existing obligations.

13. Amendments, Governing Law and Jurisdiction

  • 13.1  SmartED-i™ may amend these Terms at any time; the latest version applies upon publication.
  • 13.2  Governed by the laws of England and Wales.
  • 13.3  Courts of England and Wales have exclusive jurisdiction.

14. Acceptance

By creating an account or using any SmartED-i™ service (including ED-iMART™, ED-iEXCHANGE™, ED-iSERVE™, and ED-iCHARGECARD™), you confirm that you:

  • •  Have read and understood these Operational Terms & Conditions;
  • •  Agree to abide by them for all platform activities; and
  • •  Support SmartED-i™'s principles of responsible trading, re-use, and zero waste expectation.
